JOOBIX Software License Agreement (EULA)

Last updated: 11 September 2026

This Software License Agreement (“Agreement” or “EULA”) governs the licensed use of paid JOOBIX software and related paid software functionality.

Please read this Agreement carefully before purchasing, activating, accessing, downloading, installing or using a paid JOOBIX product.

This Agreement is between you and JOOBIX, operated by the legal operator identified in the JOOBIX Privacy Policy and Terms of Use.

By affirmatively accepting this Agreement and then accessing or using the licensed software, you agree to be bound by it.

If you do not agree to this Agreement, you must not activate or use the paid software.

1. Relationship with Other JOOBIX Terms

This EULA applies specifically to the licensing and permitted use of JOOBIX paid software.

Your use of JOOBIX may also be governed by:

  • the JOOBIX Terms of Use;
  • the JOOBIX Privacy Policy;
  • the JOOBIX Refund & Withdrawal Policy;
  • the applicable product or pricing description;
  • the purchase terms presented at checkout;
  • Lemon Squeezy’s applicable Buyer Terms where Lemon Squeezy processes the transaction as Merchant of Record.

If there is a conflict concerning the permitted use of licensed JOOBIX software, this EULA takes precedence over the general Terms of Use for that licensing issue.

Mandatory rights under applicable law always prevail over contractual terms that cannot lawfully override them.

2. Software Covered by this Agreement

This Agreement may apply to JOOBIX paid products including:

  • JOOBIX Pro editions;
  • JOOBIX Agency editions;
  • JOOBIX Business Truth functionality;
  • paid Search Term Intelligence features;
  • Agency Batch functionality;
  • paid reports and diagnostic functionality;
  • licensed browser applications;
  • licensed Progressive Web Apps;
  • downloadable or installable JOOBIX software;
  • future paid JOOBIX editions expressly stated to be licensed under this Agreement.

The exact features included in a licence are those described for the purchased product or plan at the time of purchase.

The JOOBIX Free edition is generally governed by the JOOBIX Terms of Use rather than this paid-software licence unless JOOBIX expressly states otherwise.

3. Licence Grant

Subject to payment where applicable, the purchaser’s truthful confirmation that JOOBIX Agency is being acquired for business, agency, freelance, consultancy, trade, craft or other professional purposes, and continued compliance with this Agreement, JOOBIX grants a limited, non-exclusive licence to use the purchased JOOBIX software for legitimate internal business or professional purposes during the applicable licence term. JOOBIX Agency is not offered for primarily personal or household consumer use.

This licence does not transfer ownership of JOOBIX software to you.

You receive only the rights expressly granted under this Agreement and the applicable purchased plan.

4. Professional and Agency Use

Where the purchased edition permits professional or Agency use, you may use JOOBIX to analyse:

  • your own advertising accounts;
  • advertising accounts managed by your employer or organisation;
  • advertising or business data belonging to your clients where you are authorised to do so.

Agency use may include producing analyses, recommendations and client-ready reports as part of your own professional services.

You do not need a separate JOOBIX licence for each client merely because you analyse that client’s data, unless the product description for the purchased plan expressly states a client or account limit.

Any user, seat, device, activation, workspace or account limits applicable to the purchased plan remain applicable.

5. Client Reports and Commercial Services

Subject to this Agreement, you may use JOOBIX-generated reports and analytical outputs when providing lawful professional services to your clients.

You may:

  • discuss JOOBIX findings with clients;
  • use generated action plans in your professional work;
  • provide client-ready reports produced by the software;
  • use legitimate analytical outputs in internal or client presentations.

This permission does not permit you to sell, sublicense or provide the JOOBIX software itself to a client unless your purchased plan expressly authorises such distribution or access.

You may not present yourself as the owner or developer of JOOBIX software.

6. Authorised Users

A paid licence may permit one or more authorised users depending on the purchased plan.

An “Authorised User” means a natural person who is permitted to use the software under the applicable licence or purchased seat allocation.

If a licence is purchased for an organisation or agency, only persons authorised under the purchased plan may directly access the licensed software.

You may not use one licence key to provide unrestricted access to individuals who are not covered by the applicable licence.

7. Devices and Activations

A JOOBIX paid licence may include a defined number of permitted software activations, devices or instances.

The applicable activation limit is the limit:

  • displayed in the relevant product or plan description;
  • communicated during purchase;
  • associated with the issued licence key; or
  • otherwise expressly communicated to the purchaser.

An activation represents an authorised instance of the licensed software.

Reaching the activation limit may prevent additional activations until an existing activation is removed, the licence permits additional activations, or JOOBIX provides another authorised solution.

Activation limits are access-control measures and do not transfer ownership of the software.

8. Licence Keys

Where JOOBIX uses licence keys, the licence key is provided only to enable authorised access to the purchased product.

You must take reasonable steps to keep your licence key confidential.

You must not:

  • publicly post the licence key;
  • knowingly share it with unauthorised users;
  • sell the licence key separately from any transfer permitted by law;
  • publish it in repositories or forums;
  • use another customer’s licence key without authorisation;
  • circumvent a licence-key activation or validation system.

JOOBIX may require reasonable verification that a licence belongs to the purchaser or an authorised user.

9. Licence Activation and Validation

Paid JOOBIX software may require activation or validation before or during use.

Activation or validation may involve information such as:

  • licence key;
  • licence status;
  • product or variant identifier;
  • instance identifier;
  • activation usage;
  • activation limit;
  • purchase or order identifier;
  • customer information necessary to confirm legitimate entitlement.

Details of personal-data processing associated with licensing are described in the JOOBIX Privacy Policy.

Raw advertising CSV or Business Outcomes data must not be used for licence validation unless a future JOOBIX feature expressly introduces such processing and provides the required notice.

10. Lemon Squeezy Licensing

Where the purchased product uses Lemon Squeezy licensing, JOOBIX may use Lemon Squeezy’s licensing infrastructure to:

  • generate licence keys;
  • activate a licence;
  • validate a licence;
  • deactivate an instance;
  • determine licence status;
  • enforce an applicable activation limit;
  • associate entitlement with the relevant product or order.

A licence may have statuses such as active, inactive, expired or disabled according to the applicable licensing system.

Use of Lemon Squeezy for licensing does not transfer ownership of JOOBIX software to Lemon Squeezy or to the purchaser.

JOOBIX remains responsible for granting the JOOBIX software licence described in this Agreement.

11. Subscription Licences

If a paid JOOBIX product is sold as a subscription, your licence remains valid only while:

  • the subscription remains active;
  • required payments have been successfully made; and
  • the licence has not otherwise been lawfully terminated.

If the subscription expires or ends, access to paid functionality may cease or the associated licence may become expired.

Cancellation affects future access or renewal according to the purchased subscription terms and applicable law.

12. Perpetual or One-Time-Purchase Licences

If the product is expressly sold as a perpetual or one-time-purchase software licence, the right to use the purchased licensed version is not automatically time-limited merely because no subscription exists, subject to this Agreement and applicable law.

A perpetual licence does not, unless expressly promised at purchase, automatically include:

  • every future major version;
  • every future feature;
  • indefinite cloud hosting;
  • indefinite customer support;
  • indefinite compatibility with future third-party platforms or operating systems.

Mandatory update and conformity obligations that apply under consumer law remain unaffected.

13. Updates and New Versions

JOOBIX may release:

  • security updates;
  • bug fixes;
  • compatibility updates;
  • performance improvements;
  • feature updates;
  • new product versions.

Whether a particular update or new major version is included in a paid licence depends on the applicable product description and licence model.

Nothing in this section removes any mandatory obligation concerning updates or conformity that applies to consumers under applicable digital-content law.

14. Local Analytical Processing

Where the licensed JOOBIX edition states that advertising CSV or Business Outcomes files are processed locally, those analytical files are processed within the user’s browser or device for the analysis.

The licence system is separate from the analytical file-processing workflow.

Licence validation does not grant JOOBIX ownership of customer advertising or CRM data.

Users retain their applicable rights in data they lawfully use with JOOBIX.

15. Ownership of JOOBIX Software

JOOBIX and its applicable rights holders retain all rights, title and interest in protectable elements of the software, including:

  • source code;
  • executable and application code;
  • original software structure and expression;
  • original interface elements;
  • documentation;
  • product branding;
  • logos;
  • original graphics and assets;
  • original report designs;
  • original written materials.

The fact that browser-delivered code may technically be visible or inspectable does not grant permission to reproduce, distribute or commercially exploit that code.

Nothing in this Agreement claims exclusive ownership over generic ideas, mathematical concepts, publicly known methods or ordinary descriptive industry terminology that is not legally protectable.

16. Generated Outputs

Subject to third-party rights and applicable law, JOOBIX permits you to use legitimate outputs generated through your licensed use of the software for your own internal and client work.

Generated outputs may include:

  • reports;
  • CSV exports;
  • diagnostic files;
  • analytical tables;
  • snapshots;
  • action plans.

Your rights in your underlying input data remain unaffected.

JOOBIX retains its rights in its software, branding, templates and other protectable product elements incorporated into generated outputs.

17. No Redistribution of the Software

Except where applicable mandatory law gives you a right that cannot be excluded, you may not:

  • redistribute the JOOBIX application;
  • send copies of paid application files to unauthorised persons;
  • upload the licensed product for public download;
  • publish a paid JOOBIX build to a shared repository;
  • sublicense the software;
  • rent the software;
  • commercially distribute copies;
  • use the product as a template for an unauthorised competing software distribution.

Sharing a client report generated through JOOBIX is not the same as distributing the JOOBIX software itself.

18. No Unauthorised Resale or Service-Bureau Access

Using Agency Edition to provide your own advertising or analytics services to clients is permitted within the purchased licence.

However, unless the purchased plan expressly allows it, you may not:

  • resell JOOBIX access as your own software product;
  • provide unauthorised shared logins or licence access;
  • operate JOOBIX as a white-labelled software service for third parties;
  • offer third parties direct software access in exchange for payment;
  • sell licence activations separately.

Professional use of the results is permitted.

Unauthorised resale of the software or software access itself is not.

19. Copying

You may make copies only where reasonably necessary for an authorised installation, technical backup or another use permitted by this Agreement or mandatory law.

Any permitted backup copy remains subject to this Agreement.

Making additional copies does not increase the number of licensed users or activations.

20. Modification and Derivative Distribution

You may not modify JOOBIX software for the purpose of redistributing, reselling or presenting the modified product as an independently licensed product without JOOBIX’s permission.

Nothing prevents you from configuring user-facing settings or using functionality intentionally provided by JOOBIX.

21. Reverse Engineering and Interoperability

To the maximum extent permitted by applicable law, you may not circumvent technical protections or reverse engineer, decompile or disassemble JOOBIX software for the purpose of copying, cloning, misappropriating or creating an unauthorised competing distribution of protected software expression.

This restriction does not prohibit activities that applicable mandatory law expressly permits and does not allow JOOBIX to remove non-waivable rights relating to legitimate interoperability, observation, study or testing of software.

Any legally permitted decompilation must remain within the scope and conditions established by applicable law.

22. Security Research

JOOBIX does not authorise destructive, abusive or unauthorised security testing.

Good-faith security concerns may be reported to:

joobix.co@gmail.com

Nothing in this Agreement prohibits lawful security research that cannot legally be restricted, but you must not intentionally:

  • access unrelated user data;
  • disrupt the service;
  • deploy malware;
  • exfiltrate secrets;
  • exploit a vulnerability beyond what is reasonably necessary to demonstrate it;
  • publicly disclose a vulnerability in a manner that creates unnecessary immediate risk.

23. Transfer of a Licence

Except where applicable mandatory law provides otherwise, a paid licence may not be assigned, transferred or resold without JOOBIX’s prior authorisation.

Where mandatory law gives a purchaser a lawful right to transfer or resell a particular software licence notwithstanding this restriction, the transfer must comply with that law.

To the extent legally applicable, a lawful transferor must cease using the transferred software and must not retain usable copies or continue using the transferred licence credentials.

A licence may not be improperly split into separate resale units merely by dividing individual activations where applicable law does not permit such division.

24. Refunds and Licence Deactivation

Refunds and withdrawal rights are governed by applicable law and the JOOBIX Refund & Withdrawal Policy.

Where the purchase price is validly refunded and the customer no longer retains the corresponding paid entitlement, the associated paid licence may be disabled or deactivated.

This does not limit statutory rights available to a consumer.

A request for technical support or a good-faith dispute does not by itself constitute licence abuse.

25. Chargebacks and Reversed Payments

Where a payment is reversed, charged back or determined to have been fraudulent, JOOBIX may suspend the associated paid entitlement while the matter is investigated, to the extent permitted by applicable law.

If a payment dispute is resolved in the customer’s favour and the customer is legally entitled to retain the product, access will be handled consistently with that outcome and applicable law.

This section does not prevent a consumer from exercising lawful payment-dispute or consumer-protection rights.

26. Licence Misuse

JOOBIX may suspend or disable a licence where there is reasonable evidence of material misuse, such as:

  • intentional licence-key sharing outside the permitted users;
  • fraudulent purchase;
  • use beyond the purchased activation or user limits;
  • unauthorised redistribution of paid application files;
  • deliberate circumvention of licence controls;
  • unauthorised resale of software access.

Where reasonable and legally required, JOOBIX may provide an opportunity to resolve an accidental or remediable activation problem before permanent termination.

27. Termination for Breach

JOOBIX may terminate this licence for a material breach of this Agreement where termination is permitted by applicable law.

After valid termination, you must stop using paid software to which you no longer have an entitlement.

Termination does not affect:

  • rights that arose before termination;
  • mandatory consumer remedies;
  • obligations that by their nature survive termination;
  • lawful use of reports already created, except where those reports themselves were unlawfully obtained.

28. Third-Party Components

JOOBIX software may include or rely on third-party components or services.

Where a third-party component is subject to a separate open-source or third-party licence, that licence applies to the relevant third-party component.

Nothing in this EULA is intended to restrict rights granted directly under a third-party open-source licence.

Applicable attribution or third-party notices may be provided with the product or documentation.

29. Google and Other Third-Party Platforms

Google Ads and other advertising, analytics and CRM platforms are independent third-party products.

JOOBIX is not affiliated with, sponsored by or endorsed by Google unless expressly stated otherwise.

Google and third-party trademarks belong to their respective owners.

A JOOBIX licence does not grant any rights in Google Ads or another third-party platform.

30. Analytical Nature of the Software

JOOBIX is decision-support software.

The licence grants access to software functionality; it does not guarantee:

  • advertising savings;
  • increased revenue;
  • a particular ROAS;
  • a particular CPA;
  • campaign improvement;
  • perfect attribution;
  • identification of every inefficient search term.

The user’s advertising and business decisions remain subject to human review.

More detailed product limitations are described in the JOOBIX Terms of Use.

31. Consumer Conformity Rights

JOOBIX Agency is not offered for primarily personal consumer purposes. If, despite that eligibility restriction and purchaser declaration, applicable mandatory law legally treats a purchaser as a consumer, mandatory rights relating to digital content and digital services remain unaffected.

Where applicable, these may include rights concerning:

  • supply of the digital product;
  • conformity with its description;
  • functionality and compatibility;
  • security and other necessary updates;
  • remedies for lack of conformity;
  • termination or price reduction in circumstances provided by law.

Nothing in this EULA excludes or limits rights that applicable consumer law does not permit JOOBIX to exclude.

32. Warranty Disclaimer

To the maximum extent permitted by law and without limiting mandatory consumer rights, JOOBIX does not warrant that the software will:

  • produce a commercially successful advertising decision in every case;
  • detect all issues contained in incomplete or privacy-filtered source data;
  • remain compatible indefinitely with every future browser, device or third-party platform;
  • operate without every possible defect or interruption.

Mandatory statutory conformity obligations remain unaffected.

33. Limitation of Liability

Any limitation of liability relating to JOOBIX is subject to the limitations and mandatory-law safeguards stated in the JOOBIX Terms of Use.

Nothing in this EULA excludes liability that cannot lawfully be excluded or limited.

For consumers, mandatory statutory rights remain unaffected.

34. Confidential and Client Information

Your licence does not grant JOOBIX ownership of client or business information you lawfully analyse.

You remain responsible for complying with confidentiality obligations applicable to your clients and data.

You should minimise unnecessary personal or confidential information before using business files with JOOBIX.

The JOOBIX Privacy Policy describes relevant personal-data processing.

35. No Implied Rights

No right is granted by implication merely because a technical function is possible.

For example:

  • access to browser code does not grant redistribution rights;
  • possession of a licence key does not grant unlimited activations;
  • an Agency licence does not automatically grant white-label resale rights;
  • generation of a report does not transfer ownership of JOOBIX software.

36. Changes to this EULA

JOOBIX may update this EULA where reasonably necessary to reflect:

  • changes in law;
  • security requirements;
  • licensing architecture;
  • new paid products;
  • operational changes.

A change will not retroactively remove accrued mandatory consumer rights.

Where applicable law or the nature of an existing paid contract requires notice or consent before a material contractual change, JOOBIX will comply with that requirement.

37. Governing Law

This Agreement is governed by the laws of Italy.

For consumers, this choice of law does not deprive the consumer of mandatory protections that apply under the law of the consumer’s country of habitual residence where those protections cannot lawfully be waived.

Mandatory consumer rules concerning courts and jurisdiction remain unaffected.

For users acting exclusively in a business or professional capacity, jurisdiction is governed by the JOOBIX Terms of Use and applicable law.

38. Severability

If part of this Agreement is found invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

Any invalid provision should be limited only to the minimum extent necessary rather than invalidating the Agreement as a whole.

39. No Waiver

Failure to enforce a provision on one occasion does not constitute a permanent waiver of that provision.

40. Entire Software Licence Agreement

This EULA, together with the applicable product description and the contractual documents referenced in it, forms the agreement concerning your licence to use the paid JOOBIX software.

Mandatory law always prevails where contractual terms cannot lawfully change it.
